Selling a Business with S&P
Valuation
We believe every business owner should know what their businesses are worth long before they’re ready to sell. We’ll initially provide a complementary valuation which will outline your current range of value based on a careful analysis of your financial data, recent & thoroughly researched comparable sales, and commonly held industry standard metrics including infrastructure composition, customer concentration, owner role, growth potential, and company strengths.
Range of Value
Every business owner should know what their businesses are worth for a myriad of reasons. It’s a baseline from which all other opportunity develops. We’ll work with you to develop a “range of value,” along with proper forecasting, determining critical metrics for growth, and identifying any missing key business components. Our team at S&P Capital Partners will work to take a lot of guesswork out of the conversation prior to a transaction and help create foundational solutions to maximize your business value.
Confidentiality
Confidentiality is the most critical component of a business sale, and we treat it that way at S&P Capital Partners. We know the value your team, customer base, reputation, goodwill, and historical performance create to make your company the industry titan it is. We manage all transaction aspects w/the strongest confidentiality and we do not take shortcuts.
Focused Attention
We’re not a good fit for everyone and everyone isn’t a good fit for us. We’ll work immediately to determine if we’re a good fit for your company. If there’s a better option, we’ll tell you who they are. We need to make sure that everyone is on the same page, sharing the same story, having the same conversation, and are prepared for every transaction stage.
Controlled Environment
We then work to create a controlled environment where we engage multiple & targeted buyer prospects simultaneously while offering some of our listings via “Market Value” pricing. We want to bring a carefully curated list qualified buyer prospects to the conversation early and we never stop negotiating on your behalf.
Structured & Proven Process
Nearly 40 years of combined deal experience led us to develop a structured process designed to efficiently manage your business sale w/minimal stress and worry while maximizing the value owed to you and your shareholders. Our confidential marketing along w/our thorough buyer qualification process makes sure that you only meet qualified prospective buyers. Similar to sellers, nearly 75% of buyers across all groups and types have never bought a business. They may have participated in M&A transactions in some capacity, but they’ve never signed documents at closing. As a component of our buyer qualification process buyer candidates will always sign our detailed Non-Disclosure Agreement, provide proof of financial qualification, meet w/us to introduce their investment criteria, and will agree to follow our process to close. Rest assured that when we’re prepared to make a buyer introduction, we’ve done our homework.
Collective Effort
Transactions are living, breathing organisms. They change, shift directions, and can surprise you if you’re unsure of next steps. Once we sign an exclusivity agreement w/a buyer group, we’ll work collectively to establish a transaction checklist which begins at offer stage and concludes after a post-closing reconciliation day.
Structured Negotiations
Eighth grade math isn’t difficult: unless it’s been 25 years since you’ve taken eighth grade math. Transactions will challenge you. There is always an obstacle or impasse to negotiate. We do them every day and with nearly 40 years of combined transactional experience, we’ve learned to locate those obstacles and impasses before they become impediments. We know what to expect throughout a transaction and can help you stay several steps ahead of the deal timeline.
Deal Fatigue and the Emotional Toll
Nearly all sellers experience “deal fatigue” even when they work w/folks like us. Transactions are hard and they’re final. Sellers can sometimes have an emotional experience when transitioning out of their business. It’s a lot of change. We help manage the emotional ebbs and flows of deal making and have the tough conversations so that buyer and seller can transition post-closing on good terms.
Integrity
We follow a straightforward set of four specific values at S&P Capital. Grit, High Motor, Accountability, & Self Awareness. We build long-term relationships with many of our clients, many before a transaction, and most clients lean on us for advisory services for several years after a transaction. We lead with doing, we’re here to help, and we take responsibility for our charges. We’ll always answer the phone, email, or text message long after the transaction closes.
Proven Process & Results
From the early prospective buyer conversations, to LOI analysis, due diligence coordination, legal documentation, and finally to close, we never stop working to generate the most positive result possible for you and your shareholders. We can get your business closed and you set up for your next adventure or business opportunity.
The firm’s approach to help me, coupled with their ability to listen to what I needed was such a refreshing idea that it was hard to believe at first. As we worked together over the months that followed, it became obvious that they were concerned about my welfare.
